Selini Capital FZE (hereafter Selini Capital or the Company) provides Broker–Dealer Services for Virtual Assets. This Public Disclosures document ensures that the Company's website discloses all information required to be disclosed to the public and the company shares all important information clearly, accurately, and on time in accordance with all applicable laws, regulations, rules, and directives.The Company's website contains all information mandated for public disclosure in compliance with applicable laws, regulations, rules, and directives. This includes but is not limited to, the public disclosures required under all relevant VARA Rulebooks, as well as any additional information that may be shared through other authorized disclosure methods. It helps us to maintain trust with our clients, regulators, and other stakeholders. This policy is reviewed annually or whenever there are changes in regulations or our business that require an update.

1.2 Roles and Responsibilities

The Board periodically reviews this Public Disclosures document to ensure compliance with applicable regulations and to uphold best practices in the Virtual Asset industry. The Compliance Department oversees the implementation and enforcement of the policy. They ensure that all public disclosures are accurate and up to date. Senior Management is responsible for reviewing and approving disclosures before they are made public. Employees must report any information that needs to be disclosed to the Compliance Department.

2. Services

Selini Capital operates as a broker–dealer for virtual assets, providing a platform where clients can engage in over–the–counter trading. Company's services enable the seamless exchange of fiat currency for virtual assets and vice versa. The Company is committed to continuously expanding the range of offerings to meet the evolving needs of the clients.The Company provides a comprehensive list of all Virtual Asset (VA) activities it is licensed by VARA to conduct in the Emirate. This disclosure includes a description of the activities, any restrictions or conditions imposed by VARA as part of the licensing process, and the validity period of each Licence.The list of offered and supported virtual assets and products is regularly updated on the Company's website as the Company introduces new assets to the platform.Selini Capital provides detailed information for each Virtual Asset we offer, including:Name and Symbol: Each Virtual Asset is clearly identified by a unique name and symbol.Date of Issuance : The issuance date of each Virtual Asset is documented and shared with clients.Market Capitalization and Fully Diluted Value: The market capitalization is disclosed for each VA, which indicates the total value of the Virtual Asset in circulation. Additionally, the fully diluted value, which represents the asset's potential market cap if all possible tokens were in circulation, is provided.Circulating Supply: The current amount of the Virtual Asset in circulation is stated, along with its percentage of the maximum total supply, if applicable. This provides insight into the asset's availability and distribution.Independent Smart Contract Audit: Information on the independent smart contract audit conducted for the Virtual Asset (if applicable) is disclosed. The date of the most recent audit is also provided, ensuring clients are aware of the asset's security and reliability.Largest Reduction in Price: The largest reduction in the Virtual Asset's price from its highest to lowest point is detailed. This is presented both as an absolute amount and a percentage change, along with the date it occurred. This helps clients understand the asset's volatility.

3. Pricing

Selini Capital determines and transparently discloses the methodology for establishing the prices of virtual assets. The Company takes into account various factors during the price determination process, including but not limited to:Market Data: The Company analyzes real–time market data, including trade volumes and recent transaction prices, to ensure Company's pricing reflects current market conditions.Demand and Supply: The prices are influenced by the demand for and supply of the Virtual Assets. High demand with limited supply typically raises prices, while low demand with high supply can lower prices.Liquidity: The Company assesses the liquidity of each Virtual Asset, ensuring that our prices account for the ease with which the asset can be bought or sold without affecting its price.

4. VA Broker-dealer Disclosures

Selini Capital is committed to transparency and full disclosure to ensure that clients have a clear understanding of how their assets and orders are managed.

4.1 Order Routing

Selini Capital does not operate a public exchange or order book, and pricing is determined based on the best available quotes from our network of liquidity providers, prices on exchange, current positioning from prior trades being hedged, and taking into account factors such as market conditions, transaction size, and asset availability. Selini Capital has established a partnership with SLN Capital Limited, VARA regulated exchanges and other liquidity providers.

4.2 Virtual Asset Pricing

Selini Capital determines the execution prices of Virtual Assets based on proprietary models. Inputs to these models include but are not limited to, the following:A. External price sources such as venues and/or bilateral liquidity providersB. The current risk position of the firmC. Per–client configurations, defined by Selini Capital FZE or, in some cases, at the request of the client.Selini Capital employs a robust pricing mechanism to ensure the quotes provided are reflective of the current market and the specific terms of the transaction.

4.3 Protection of Clients' Ownership of Assets

Selini Capital is dedicated to safeguarding clients' ownership of assets held. The Company has established comprehensive protective measures to protect client Virtual Assets and has partnered with globally recognized service providers. These measures include advanced cybersecurity protocols, such as interruption detection systems, firewalls, and continuous network monitoring to detect and prevent unauthorized access. The Company also works with strong encryption methods to protect data during transmission and storage. Additionally, the Company is insured against potential losses due to theft, hacking, or other security breaches, providing an extra layer of protection.Access to private keys is strictly controlled and limited to essential personnel only. The Company works a multi–layered security approach, which includes encryption and secure key storage solutions to protect private keys.Segregation of Assets: We maintain all customer assets 1:1 – the details of which are frequently shared with regulatory authorities. Furthermore, client assets are held segregated at all times.Custody Model: Digital assets are held in a combination of hot, warm and cold wallets. Hot and warm wallets are secured by MPC (multi–party computation), which ensures that there's no single point of failure. Cold wallets are held by a VARA regulated virtual asset custodian.Insurance Coverage: insurance coverage over assets held in hot and warm wallets providing an additional measure of protection in the event of an adverse incident relating to the security of the insured wallets.As part of our commitment to ensuring the security of your digital assets, we would like to remind you that while we provide custodial services and secure infrastructure through selected partners, you may also have responsibilities related to safeguarding access credentials, including private keys or seed phrases, particularly in cases involving self–custody wallets or decentralized trading interactions.A. Your Responsibility for Protecting Private Keys and Seed PhrasesIf you use non–custodial wallets or interact with external wallets or decentralized protocols while engaging with our platform:You are solely responsible for maintaining the confidentiality and security of your private keys and/or seed phrases.These keys and phrases should never be shared, stored digitally in plain text, or transmitted over unsecured channels.We will never request your seed phrase or private key. If you receive such a request, it is likely a scam or phishing attempt.B. Recommended Security MeasuresUse hardware wallets for long–term storage of digital assets.Store seed phrases offline, written on paper or metal and kept in a secure, fireproof location.Enable multi–factor authentication (MFA) on all related accounts.Avoid using shared or public devices to access wallet applications or trading platforms.Do not screenshot or photograph your seed phrase or keys.Regularly check for malicious browser extensions or software on your devices.C. Consequences of Key Misuse or LossLoss of your seed phrase or private key may result in the permanent loss of access to your assets.Unauthorized access due to poor key management can lead to theft, fraud, or irreversible transactions.In such cases, neither our firm nor our custodian partners may be able to recover your assets or reverse transactions.D. If You Suspect CompromiseIf you believe your credentials may have been compromised, take measures to secure your assets (including but not limited to):Immediately notify our support team.If a crime has been committed, inform local law enforcement if it's appropriate to do so.

4.4 Referral and Introduction Arrangements

Selini Capital discloses any arrangements where it refers or introduces clients to other entities, including but not limited to other VASPs. If such arrangements exist, the Company provides a comprehensive description of the terms, conditions, and scope of these referral or introduction arrangements.The disclosure includes information about any monetary or non–monetary benefits received by the Company as a result of these arrangements. This may include referral fees, commissions, or reciprocal business arrangements. By offering this information, the Company ensures that clients are aware of potential influences on referrals and introductions, promoting transparency and informed decision–making.

4.5 Accounts, Funds, and VAs Maintained by Third Parties

Selini Capital utilises select third–party custodians, including Hex Trust MENA FZE, to maintain accounts, funds, and Virtual Assets, ensuring enhanced security and operational efficiency. These assets are entrusted to such reputable third–party providers who adhere to industry–leading best practices and comply with applicable regulatory standards to safeguard client assets effectively.

5. Policies and Procedures

Selini Capital is dedicated to maintaining transparency and integrity in its operations. As part of this commitment, the Company provides comprehensive disclosures regarding its policies and procedures, ensuring clients are well–informed about its practices and governance. The disclosed policies cover key areas such as conflicts of interest, data privacy, whistleblowing, and handling client complaints.

5.1 Conflict of Interest

Selini Capital publishes a detailed description of any actual or potential conflicts of interest that may arise from its activities. The Company is committed to identifying, disclosing, and managing conflicts of interest to ensure fair and ethical business practices. Clients should be aware that investing in Virtual Assets involves a high degree of risk and may result in significant financial losses.Transferability and Irreversibility: Virtual Assets may not always be transferable, and some transfers may be irreversible. Clients should exercise caution when transferring assets, as errors or mistakes may lead to the permanent loss of assets. It is essential to verify all transaction details before initiating a transfer, as recovery may not be possible once the transaction is executed.Liquidity: Virtual Assets may not be liquid, meaning they cannot always be quickly or easily sold or exchanged for cash without significant price impact. Market conditions or specific asset characteristics may limit the ability to convert Virtual Assets into fiat currency or other assets. Clients should consider their liquidity needs and the potential challenges associated with liquidating Virtual Assets.Privacy and Public Ledger Transparency: Some transactions involving Virtual Assets are not private and may be recorded on public Distributed Ledger Technologies (DLTs). While blockchain technology provides transparency and security, it may also expose transaction details to public scrutiny. Clients should take appropriate security measures, such as using secure wallets and authentication methods, to protect their assets and be aware that regulatory protections may be limited or unavailable.
